1. Agreement to Terms

By accessing or using GhostDawgAI.com (“the Site”), creating an account, or purchasing any service, you agree to be bound by these Terms of Service (“Terms”). GhostDawg AI is a division of GhostDawg Consulting, headquartered in Saint Augustine, Florida. If you do not agree to these Terms, do not use the Site or purchase any services.

2. Services Overview

GhostDawg AI provides the following categories of services:

• VCSaaS Subscriptions (Virtual Consulting Staff as a Service) — Monthly subscription tiers (Starter, Growth, Command) providing ongoing access to our AI analyst team for business queries and deliverables.
• Consulting & Advisory — One-time and recurring strategic consulting engagements, including Discovery Calls, Strategy Sessions, Consulting Packages, and Monthly Retainers.
• AI Business Audit — A comprehensive AI readiness assessment producing scored deliverables.
• LaunchPad Suite — Project-based AI deliverable packages (Task, Query, Ignition tiers).
• AI Foundations — Educational course materials on AI implementation.

3. Subscription Terms (VCSaaS)

VCSaaS subscriptions are billed on a monthly recurring basis. By subscribing, you authorize GhostDawg AI to charge your payment method automatically each billing cycle until you cancel.

• Auto-Renewal: Subscriptions automatically renew on the same date each month. You will be charged the then-current subscription rate unless you cancel before the next billing date.
• Cancellation: You may cancel your subscription at any time through the Billing Portal. Your access continues through the end of your current paid billing period. No partial refunds are issued for unused time within a billing period.
• No Refunds After Billing: Once your billing date has passed, the charge for that period is non-refundable.
• Tier Changes: You may upgrade or downgrade your subscription tier at any time. Changes take effect at the start of your next billing cycle.

4. One-Time Purchase Terms

For one-time purchases (Discovery Call, Strategy Session, Consulting Package, Monthly Retainer, AI Business Audit, LaunchPad Suite, AI Foundations):

• Refund Eligibility: Full refund available within 7 days of purchase if work has not commenced. No refund once work has begun. Specific refund windows apply to certain products — see our Refund & Cancellation Policy for details.
• Scope of Work: Each product has a defined scope. Additional work beyond the original scope may be quoted separately.
• Delivery Timelines: Estimated turnaround times are provided in good faith but are not guaranteed. GhostDawg AI will communicate any expected delays.

5. VCSaaS & AI Output Terms

Our VCSaaS platform and AI-generated deliverables are subject to the following:

• AI-Assisted Output: Deliverables are produced by our AI specialist team and reviewed for quality. However, AI-generated analysis, recommendations, and content may contain errors, inaccuracies, or omissions.
• No Guarantee of Business Outcomes: GhostDawg AI does not guarantee specific business results, revenue increases, cost savings, or any particular outcome from the use of our services or deliverables.
• Not Professional Advice: Our deliverables are for informational and strategic guidance purposes only. They do not constitute legal, financial, tax, medical, or other professional advice. Consult appropriate licensed professionals for such matters.
• Query Limits: Each VCSaaS tier includes a defined number of queries per month. Unused queries do not roll over between billing periods.

6. Consulting & Advisory Terms

• Scope: Consulting engagements are scoped at the time of purchase. Changes to scope require written agreement from both parties.
• IP Ownership: You retain ownership of all proprietary information you provide to us. GhostDawg AI retains ownership of its methodologies, frameworks, and tools. Deliverables produced for you are yours to use for your business purposes.
• Confidentiality: GhostDawg AI will treat all client information, business data, and strategic discussions as confidential. We will not disclose your confidential information to third parties except as required to provide our services or as required by law.
• Non-Exclusivity: Unless otherwise agreed in writing, GhostDawg AI may provide services to other clients, including competitors.

7. Acceptable Use Policy

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation.
• Submit content that is defamatory, obscene, threatening, or infringes on the intellectual property of others.
• Attempt to gain unauthorized access to our systems, other user accounts, or any connected networks.
• Resell, redistribute, or sublicense our services or deliverables to third parties without written consent.
• Use automated tools, bots, or scrapers to access the platform beyond normal use.
• Interfere with the performance or availability of our services.

8. Account Termination

• By You: You may delete your account at any time by contacting us at info@ghostdawgconsulting.com. Active subscriptions must be cancelled separately through the Billing Portal.
• By Us: GhostDawg AI reserves the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or at our sole discretion. In the event of termination for cause, no refund will be provided.
• Effect of Termination: Upon termination, your access to the platform and any active services will cease. Data may be retained for a reasonable period as described in our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHOSTDAWG AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO GHOSTDAWG AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GHOSTDAWG AI IS NOT LIABLE FOR BUSINESS DECISIONS MADE BASED ON OUR ANALYSIS, RECOMMENDATIONS, OR DELIVERABLES. YOU ACKNOWLEDGE THAT ALL BUSINESS DECISIONS ARE MADE AT YOUR OWN RISK.

10. Dispute Resolution & Governing Law

• Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
• Jurisdiction: Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in St. Johns County, Florida (Saint Augustine).
• Informal Resolution: Before initiating any formal proceeding, you agree to contact us at info@ghostdawgconsulting.com to attempt to resolve the dispute informally within thirty (30) days.

11. Modifications to Terms

GhostDawg AI reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site. Continued use of the Site after changes constitutes acceptance of the revised Terms.
